All intellectual property rights, including but not limited to copyrights, trademarks, patents, and any other proprietary rights, related to the services and products provided by Arrow Tech remain the property of Arrow Tech or its licensors. Upon full payment of any service fees, you are granted a non-exclusive, non-transferable license to use the final web development products solely for your own business purposes, subject to the terms of this agreement. Any code, designs, or other content that we develop for you during the course of your project will remain the intellectual property of Arrow Tech until payment is completed. After that, the rights to the final product (except for any third-party content or open source components) are transferred to you.
Both parties agree to keep confidential any proprietary information exchanged during the course of the services, including business plans, designs, project documentation, and other materials provided by Arrow Tech. This confidentiality obligation remains in effect even after the completion of the project. We will not disclose your business data or any other sensitive information to third parties unless required by law or if you provide explicit consent. Any third parties we work with (e.g., contractors, service providers) will be bound by similar confidentiality obligations.
Arrow Tech is committed to delivering high quality services. However, we do not accept liability for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services, including but not limited to loss of profits, data, or business opportunities. Our total liability to you for any claims related to the services we provide will not exceed the total amount paid by you for the services in the six months preceding the claim.
Arrow Tech reserves the right to terminate or suspend services if you breach any of the terms outlined in this agreement. In such cases, you will be notified, and any remaining payments for services provided will become due immediately. You may also terminate services by providing written notice to us, but any payments made are non-refundableUpon termination, we may offer you access to your website's content and data, but we reserve the right to remove or disable access to any web development services provided if payments are not settled or in the event of a breach of these Terms and Conditions.
You agree to indemnify and hold harmless Arrow Tech, its officers, employees, and affiliates, from any claims, losses, damages, or expenses, including legal fees, arising from your violation of these Terms and Conditions or the use of our services in violation of applicable laws or the intellectual property rights of third parties. This indemnification obligation will survive the termination or expiration of this agreement.
Arrow Tech reserves the right to modify or amend these Terms and Conditions at any time. Any changes will be posted on this page with an updated revision date. Continued use of our services after any modifications signifies your acceptance of the revised terms. It is your responsibility to regularly review these Terms and Conditions. By agreeing to these Terms and Conditions, you consent to the exclusive jurisdiction and venue of 81, 2nd Floor, Ridhi sidhi complex, Laxmi Nagar, Delhi, 110092 courts in the event of any legal proceedings related to these Terms and Conditions.
If any disputes arise out of or in connection with these Terms and Conditions, both parties agree to attempt to resolve the dispute through good faith negotiations. If resolution cannot be reached, the matter will be resolved through binding arbitration or through the courts as specified above.
